This type of offering is ideal for mature startups and mid-stage brands that have consumer appeal, and is only available to companies organized in (and with their principal place of business in) the United States or Canada.

What is the fundraising max for Reg. A+?

With a Reg. A+, you can raise between $4M-$75M from investors.

What are SEC requirements for a Reg. A+?

Tier 2 issuers are required to include audited financial statements in their offering documents and to file annual, semiannual, and current reports with the SEC on an ongoing basis. Requirements include:


- Form 1-A for SEC review and potential qualification

- Audited financials going back two-years

- Annual US-GAAP audits and six-monthly Management Financials

- Annual Form 1-K filings

- Semi-annual Form 1-SA filings

How long does SEC qualification take?

The short answer is it depends, but 60-100 days is a typical timeframe. However, the SEC qualification depends on many factors and it could take longer.

What kind of investor class can participate in a Reg. A+ raise?

Any investor can participate (including retail, qualified, accredited, or institutional) as long as they qualify per the issuer’s specifications.
